Welcome to Kassa AI (“we”, “us”, “our”). These Terms of Use (“Terms”) govern your access to and use of our website, WhatsApp AI assistant services, and any related software, tools, or APIs (collectively, the “Service”). By signing up, accessing, or using the Service, you (“Business”, “Client”, “you”) agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. Eligibility & Account Registration
You must be at least 18 years old and a legally operating business or sole proprietor in Ghana (or as permitted by applicable law) to use the Service. You agree to provide accurate, current, and complete information during registration and to update it promptly. You are responsible for safeguarding your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.
2. Description of the Service
Kassa AI provides an automated WhatsApp voice and text assistant that helps businesses answer customer inquiries, take orders, book appointments, and respond in local languages (Twi, Ga, Ewe, English). The Service is offered on a subscription basis and may include a free trial period. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.
3. Subscription & Payments
3.1 Pricing & Billing
Our pricing plans (monthly or yearly) are displayed on our website. You agree to pay all fees in accordance with the chosen plan. Payments are processed via third-party payment gateways. All fees are non-refundable except as required by law or explicitly stated in a separate refund policy.
3.2 Automatic Renewal
Unless you cancel your subscription before the renewal date, your subscription will automatically renew at the then‑current rate. You may cancel anytime from your account dashboard or by contacting support@kassaai.com.
3.3 Taxes
You are responsible for any applicable taxes (including VAT, GST, or sales tax) imposed on the Service.
4. User Obligations & Acceptable Use
You agree not to:
- Use the Service for any unlawful, fraudulent, or abusive purpose.
- Send spam, phishing attempts, or harmful content via the WhatsApp assistant.
- Reverse engineer, copy, or resell the Service without written permission.
- Interfere with the security or performance of the Service.
- Upload any malicious code, viruses, or content that violates third-party rights.
We reserve the right to suspend or terminate accounts that violate these rules.
5. Data Privacy & Your Information
Your use of the Service is also governed by our Privacy Policy (available on our website). We collect and process personal data (e.g., business contacts, customer messages) solely to provide and improve the Service, and in compliance with the Data Protection Act, 2012 (Act 843) of Ghana. We do not sell your data. You retain ownership of your business data; we act as a data processor.
6. Intellectual Property Rights
All intellectual property in the Service, including software, algorithms, trademarks (Kassa AI), logos, and content, is owned by Kassa AI or its licensors. We grant you a limited, non‑exclusive, non‑transferable right to use the Service for your internal business purposes during your subscription. You may not copy, modify, or create derivative works.
You retain ownership of the content you input (e.g., menu, prices, customer data). By providing such content, you grant us a license to use it solely to operate and improve the Service.
7. Cancellation & Termination
You may cancel your subscription at any time from your account settings. Upon cancellation, access to the Service will continue until the end of your current billing period. We may terminate or suspend your account immediately if you breach these Terms, fail to pay fees, or engage in illegal activities. After termination, we will delete your data within 30 days unless required by law to retain it longer.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR‑FREE, OR SECURE. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. USE OF WHATSAPP IS SUBJECT TO META’S TERMS; WE ARE NOT RESPONSIBLE FOR WHATSAPP OUTAGES OR CHANGES.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KASSA AI AND ITS DIRECTORS, EMPLOYEES, OR PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US DURING THE THREE (3) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Kassa AI from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, misuse of the Service, or violation of any law or third‑party rights.
11. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any dispute arising from these Terms shall first be attempted to be resolved through good‑faith negotiation. If not resolved within 30 days, the dispute shall be submitted to confidential arbitration in Accra, Ghana, under the rules of the Ghana Arbitration Centre. The arbitrator’s decision shall be final and binding.
12. Modifications to Terms
We may update these Terms from time to time. Material changes will be notified by email or via a notice on our website at least 14 days in advance. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
13. General Provisions
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms constitute the entire agreement between you and Kassa AI regarding the Service. Our failure to enforce any right does not waive that right. You may not assign these Terms without our written consent; we may assign them freely.
